Welcome to Constelle. These Terms & Conditions (these “Terms”) govern your access to and use of Constelle, including our website, web application, mobile interfaces, and related services (collectively, the “Service”). The Service is provided by Constelle (“Constelle,” “we,” “us,” or “our”). By creating an account, browsing the Service, or using any of its features, you agree to these Terms in full. If you do not agree with any part of these Terms, you must not access or use the Service.

Constelle is an AI-powered assistant that helps you understand, organize, and make better sense of your insurance coverage. We are not an insurance company, insurance agent, broker, or producer, and we do not sell, underwrite, or bind insurance policies. Any policy you view, compare, or purchase through a link from Constelle is a separate contract between you and the applicable insurer or distributor. These Terms do not change the terms of your insurance policy, which always control.

1. Eligibility

You must be at least eighteen (18) years old and legally able to enter into a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements and that the information you provide to us is accurate, current, and complete. You may not use the Service if your right to use it has been previously suspended or revoked by us.

2. Your account

To access most features, you will need to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use, suspected breach, or other security concern. We may suspend or close your account if we believe it is being used in violation of these Terms or applicable law, and you are responsible for keeping your contact and account information up to date.

3. Acceptable use

You agree to use the Service only for lawful purposes and in a way that does not infringe the rights of others or restrict their use of the Service. You will not misuse the Service, attempt to access systems or data you are not authorized to access, reverse engineer or scrape our content, introduce malware or harmful code, or interfere with the Service’s operation or security. You will also not use automated tools to extract data without our permission, or use the Service to develop a competing product.

4. AI assistance and recommendations

Constelle uses artificial intelligence and machine learning to summarize your policies, surface potential gaps in coverage, suggest actions, and answer questions about your insurance. This output is generated automatically based on the information you provide and the documents you upload, and it may be incomplete, inaccurate, or out of date. Our recommendations are general informational guidance, not professional, legal, financial, or insurance advice, and they do not take your full circumstances into account.

You are solely responsible for any decision you make based on the Service, including whether to purchase, change, or cancel coverage. Always read your actual policy documents and confirm important details directly with your insurer or a licensed professional before acting. Constelle is not liable for decisions you make in reliance on the Service.

5. Connected accounts and third-party services

The Service may let you connect external accounts, such as your bank, email, or calendar, or link to insurers and other third-party providers. When you connect a third-party service, you do so under that provider’s terms and privacy policy, and you authorize us to retrieve and process the information you have agreed to share. We do not control third-party services and are not responsible for their availability, accuracy, or conduct. You can disconnect any linked service at any time, after which we will stop collecting new data from it.

6. Your content

You retain ownership of the documents, policies, and other information you upload or provide to the Service (“Your Content”). You grant Constelle a worldwide, non-exclusive, royalty-free license to use, copy, store, process, and display Your Content solely to provide and improve the Service and to generate the assistance described in these Terms. You represent that you have the rights to provide Your Content to us and that doing so does not violate any law or third-party right.

7. Fees and subscriptions

Some features of the Service may require a paid subscription. If you purchase a subscription, you agree to pay the fees displayed at the time of purchase on a recurring basis until you cancel. You can cancel at any time from your account settings; cancellation stops future billing but does not refund the current period except where required by law. We may change our fees or introduce new charges with reasonable notice, and applicable taxes are your responsibility.

8. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, whether express or implied. To the fullest extent permitted by law, Constelle disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and any warranty that the Service will be uninterrupted, error-free, or secure, or that recommendations will be accurate or suitable for you. No advice or information from Constelle creates a warranty not expressly stated in these Terms.

9. Limitation of liability

To the maximum extent permitted by law, in no event will Constelle be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or coverage, arising out of or related to your use of the Service. Our total liability for any claim arising from these Terms or the Service will not exceed the amount you paid us in the twelve (12) months before the claim, or fifty U.S. dollars if you have not paid us. Some jurisdictions do not allow certain liability limitations, so some of these limits may not apply to you.

10. Indemnification

You agree to defend, indemnify, and hold Constelle and its affiliates harmless from any claims, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of your breach of these Terms, your misuse of the Service, or your violation of any law or third-party right.

11. Changes to the Service and these Terms

We may update, change, or discontinue features of the Service at any time, and we may add or remove functionality. We may also revise these Terms from time to time. When we make material changes, we will notify you through the Service or by other reasonable means, and the “last updated” date will reflect the current version. Your continued use of the Service after changes take effect means you accept the updated Terms.

12. Termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access if you violate these Terms or if we decide to stop offering the Service in whole or in part. When your account ends, the provisions that by their nature should survive — including ownership, disclaimers, limitation of liability, and indemnification — will remain in effect.

13. Governing law and disputes

These Terms are governed by the laws of the jurisdiction in which Constelle is established, without regard to conflict-of-law rules. We will try to resolve any dispute informally first. If we cannot, any dispute will be resolved in the courts of that jurisdiction, and you and Constelle consent to the personal jurisdiction of those courts. If you are a consumer, nothing in these Terms reduces any mandatory rights you have under your local consumer-protection laws.
